Resolution:Dissolving the Talent & Culture Committee

Whereas, the Talent & Culture Committee conducted an annual self-assessment in 2023;
Whereas, the result of the self-assessment was a recommendation to dissolve the committee and transfer its responsibilities to other committees of the Board of Trustees; and
Whereas, the members of the Talent & Culture Committee discussed this recommendation among themselves and with other Trustees, and concluded that the Board should plan to sunset the committee by the end of the 2024 calendar year;
Now, therefore, it is:
RESOLVED, that the Talent & Culture Committee shall be dissolved, effective December 31, 2024;
RESOLVED, that the Talent & Culture Committee’s responsibilities regarding conducting performance reviews for the CEO (and, optionally, other executives) and reviewing the overall process for performance management of Wikimedia Foundation executives will be transferred to the Executive Committee;
RESOLVED, that the Talent & Culture Committee’s responsibilities regarding reviewing and providing Board input on the Foundation’s compensation policies (including the Foundation’s processes for performance and compensation management) will be transferred to the Audit Committee; and
RESOLVED, that the Board will revise the committee charters as needed to effect the dissolution of the Talent & Culture Committee.
