Resolution:Delegation of Banking Authority
This proposal has been approved by the Wikimedia Foundation Board of Trustees. It may not be circumvented, eroded, or ignored by Wikimedia Foundation officers or staff nor local policies of any Wikimedia project. This resolution approving the delegation of banking authority was unanimously approved, in-person on July 11, 2012. |
Resolved that:
- The Chairperson or Secretary of the Board of Trustees is each individually authorized via this delegation to certify to the due adoption of banking resolutions and incumbency certificates, and to sign any other resolutions and execute agreements as required to establish, maintain, and close bank accounts or other financial services related accounts, including, but not limited to, brokerage, money market, and other asset management accounts, acquiring or payment processing accounts, and other similar accounts of the Wikimedia Foundation, as is necessary and prudent for the purpose of managing the funds and assets of the Wikimedia Foundation.
- The Chairperson or Secretary of the Board of Trustees shall provide a report to the full Board at the next regularly scheduled meeting of any new or closed accounts approved under this delegation.
- This resolution is subject to annual review by the Board and shall be considered in effect, unless revoked by resolution of the Board.
